Acceptance of Terms

By accessing and using the timecryw website and services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, users, and clients of timecryw AS.

timecryw AS is a Norwegian company registered under company number 369852147, with VAT number NO367412586MVA, and registered address at Torgallmenningen 143, 0119 Oslo, Norway.

Description of Services

timecryw provides corporate data quality management framework services, including but not limited to data governance consulting, quality assessment, framework implementation, monitoring solutions, and training services. Our services are designed for business and corporate clients seeking to improve their data quality and compliance standards.

User Obligations

When using our website and services, you agree to:

• Provide accurate and complete information when requested
• Use our services only for lawful purposes and in accordance with these terms
• Not attempt to gain unauthorised access to our systems or networks
• Not interfere with or disrupt the operation of our website or services
• Respect the intellectual property rights of timecryw and third parties
• Comply with all applicable laws and regulations
• Maintain the confidentiality of any login credentials or access information

Service Agreements

Specific terms for our data quality management services will be outlined in separate service agreements or contracts. These Terms of Service supplement but do not replace such specific agreements. In the event of any conflict between these general terms and a specific service agreement, the specific service agreement shall prevail.

Payment Terms

Payment terms for our services will be specified in individual service agreements. Generally, invoices are payable within 30 days of the invoice date. Late payments may incur interest charges as permitted by Norwegian law. All prices are quoted in Euros unless otherwise specified and exclude applicable VAT.

Intellectual Property

All content on the timecryw website, including text, graphics, logos, images, software, and methodologies, is the property of timecryw AS or its licensors and is protected by Norwegian and international copyright and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without express written permission.

Our data quality frameworks, methodologies, and proprietary processes remain the intellectual property of timecryw. Clients receive a licence to use implemented frameworks within their organisation but do not acquire ownership rights to our intellectual property.

Confidentiality

timecryw acknowledges that in the course of providing services, we may have access to confidential information belonging to our clients. We maintain strict confidentiality standards and will not disclose client information except as required by law or with explicit client consent.

Clients similarly agree to maintain the confidentiality of timecryw's proprietary methodologies, frameworks, and business practices disclosed during the course of our engagement.

Data Protection

Our handling of personal data is governed by our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). By using our services, you acknowledge that you have read and understood our Privacy Policy.

Limitation of Liability

To the maximum extent permitted by Norwegian law, timecryw's liability for any claims arising from our services or website shall be limited to the amount paid by the client for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

This limitation of liability does not apply to damages caused by our gross negligence or wilful misconduct, or to liability that cannot be excluded or limited under applicable law.

Indemnification

Clients agree to indemnify and hold harmless timecryw, its employees, and agents from any claims, damages, or expenses arising from the client's use of our services in violation of these terms or applicable law, or from any breach of the client's representations and warranties.

Force Majeure

timecryw shall not be liable for any failure or delay in performance under these terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Norway. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the Norwegian courts, with Oslo as the agreed venue for legal proceedings.

For clients located within the European Union, nothing in these terms shall prejudice any rights you may have as a consumer under applicable EU consumer protection laws.

Termination

These terms remain in effect until terminated by either party. timecryw may terminate your access to our website or services immediately if you breach these terms. Clients may terminate service agreements in accordance with the specific terms outlined in their service contracts.

Upon termination, all rights and obligations shall cease except for those that by their nature should survive termination, including intellectual property rights, confidentiality obligations, and limitation of liability provisions.

Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions shall be replaced with valid provisions that most closely approximate the intent of the original provision.

Modifications

timecryw reserves the right to modify these Terms of Service at any time. We will notify users of material changes by posting updated terms on our website and updating the "Last updated" date. Continued use of our services after such modifications constitutes acceptance of the updated terms.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and timecryw regarding the use of our website and services, superseding all prior agreements and understandings.
